1. Acceptance of Terms
By creating an Ally account, whether through a mobile device, mobile application, or computer (collectively, the “Service”), you agree to be bound by these Terms of Use, our Privacy Policy, Cookie Policy, Arbitration Procedures (if applicable to you), Safety Tips, and Community Guidelines. Each of these is incorporated by reference into this Agreement. Additionally, any terms disclosed and agreed to by you for the purchase of additional features, products, or services on the Service collectively constitute this Agreement. If you do not accept and agree to be bound by all the terms of this Agreement, please refrain from using the Service.
We may modify this Agreement and the Service from time to time for various reasons, such as reflecting changes in the law, introducing new features, or adjusting business practices. The most recent version of this Agreement will be posted on the Service under Settings, and it is your responsibility to regularly check for updates. The most recent version applies, and if material changes affect your rights or obligations, we will notify you at least 30 days in advance of such changes, unless legally prohibited from doing so.
2. Eligibility
You are authorized to create an account and use the Service only if:

You are at least 18 years of age.

You can form a binding contract with Ally.

You are not barred from using the Service under the laws of the United States or any other applicable jurisdiction.

You will comply with this Agreement and all applicable laws.

You have never been convicted of a felony or indictable offense, a sex crime, or any crime involving violence, and you are not required to register as a sex offender.
3. Your Account
To use Ally, you may sign in using various methods, including Facebook login. If you choose Facebook login, you authorize us to access and use specific Facebook account information, detailed in our Privacy Policy. You are responsible for maintaining the confidentiality of your login credentials, and if you suspect unauthorized access, please contact us promptly.
4. Modifying the Service and Termination
Ally continually enhances the Service, adding features or removing some, with minimal notice if it doesn't materially affect your rights or obligations. We may suspend the Service, notifying you in advance unless safety or security concerns prevent us.
To terminate your account, follow the instructions under "Settings" in the Service. Other termination options exist, but if you use third-party payment accounts, manage in-app purchases to avoid additional billing. Ally may terminate your account without notice for violating this Agreement, with no refund for purchases.
For residents of the Republic of Korea, we will notify you promptly unless prohibited by law or causing harm, specifying the reason for the action.
Upon termination, certain provisions (Sections 4, 5, and 12 through 19) will persist.
5. Safety; Your Interactions with Other Members
While Ally encourages respectful interactions, it is not responsible for member conduct on or off the Service. Use caution in all interactions, adhere to Safety Tips, and refrain from sharing financial information or sending money to other members.
You are solely responsible for your interactions, and Ally does not conduct criminal background checks on its members. Ally makes no representations or warranties regarding member conduct or compatibility.
6. Rights Ally Grants You
Ally grants you a personal license to access and use the Service for non-commercial purposes, revocable upon:

Use for commercial purposes without written consent.

Unauthorized use of copyrighted material without Ally’s consent.

Misrepresentation of statements as endorsed by Ally.

Use of automated devices to access or reproduce the Service.

Actions that interfere with or compromise the Service's security.

Uploading malicious code or compromising the Service's security.

Unauthorized modification, reverse engineering, or disassembly of the Service.

Development of third-party applications interacting with the Service without consent.
Ally may investigate and take legal action against illegal or unauthorized Service use, including account termination.
Any provided software may download upgrades, updates, or new features, adjustable through your device's settings.
7. Rights you Grant Ally
By creating an account, you grant Ally a worldwide, transferable, sub-licensable, royalty-free license to host, store, use, copy, display, reproduce, adapt, edit, publish, modify, and distribute information from third parties and any content you post on the Service.
The license is non-exclusive, except for derivative works created through the Service. Ally may act on your behalf for infringing uses of your content outside the Service, including sending DMCA Takedown Notices.
The license is subject to applicable law and is for operating, developing, providing, improving, and researching the Service. Your submitted information must be accurate, and Ally may monitor or delete content violating this Agreement.
When communicating with customer care, be respectful. Ally may place advertising on the Service and use feedback for any purpose without compensation. Ally may access, store, and disclose your information as required by law or in good faith to protect interests.
8. Community Rules
By using the Service, you agree not to:

Use the Service for illegal or prohibited purposes.

Use the Service for harmful purposes.

Use the Service to damage Ally.

Violate Community Guidelines.

Spam, solicit money or defraud members.

Impersonate others or post images without permission.

Bully, stalk, intimidate, harass, or defame any person.

Post content violating rights or promoting harm.

Solicit passwords or personal information.
-
Use multiple accounts without permission.
Ally may investigate and terminate your account without a refund for violations.
9. Other Members' Content
While Ally reserves the right to review and remove violating content, members are solely responsible for posted content. Ally cannot guarantee all content compliance, and violations should be reported within the Service or via our contact form.
10. Purchases
General Conditions for In-App Purchases: Ally periodically provides products and services for purchase ("in-app purchases") through authorized platforms such as the App Store, Google Play Store, carrier billing, Ally direct billing, or other payment platforms. Upon opting for an in-app purchase, you will confirm the transaction with the designated payment provider. Your selected payment method (e.g., card or third-party account) will be charged the displayed prices for the selected service(s), along with any applicable taxes. By proceeding, you authorize Ally or the relevant third-party account to charge you accordingly.
Auto-Renewal and Automatic Card Payment: For auto-recurring subscriptions via in-app purchases, your payment method will be billed until canceled. After the initial subscription period, it will automatically renew at the agreed price unless canceled before the renewal date. Card payment details will be securely stored for automatic processing as per the agreement. To object to a payment, contact Customer Support or your bank/payment provider. You can withdraw consent for automatic card payments anytime in the settings, but outstanding amounts remain payable.
Subscription Changes and Termination: To modify or end your subscription, log in to your third-party account or Ally's settings. Deleting your Ally account or app doesn't cancel the subscription; funds will be retained until termination on Ally or the third-party account. German residents may terminate with one month's notice after renewal, with other terms unaffected.
Direct Payment Method Terms: If paying Ally directly, billing errors may be corrected. Chargebacks may result in immediate account termination. Update payment details in Ally settings. Failed payments require action to avoid continued billing. Payments for users outside the Americas go through MTCH Technology Services Limited.
Virtual Items: Purchase or earn licenses for "virtual items." These include virtual products, coins, or units for in-service exchanges. Virtual items have no real-world value, and their license terminates per this agreement, service cessation, or account closure. Ally may charge fees for virtual item access, with no liability for managing, regulating, or modifying them. Purchases are final and non-refundable.
Refunds: Generally non-refundable, except within 14 days for subscriptions or as required by local law. EU/EEA subscribers have a 14-day refund right. Korean subscribers can refund within 7 days. Virtual item purchases are final and non-refundable. Follow specific refund processes for Apple ID, Google Play, and direct purchases.
Pricing: Global pricing varies based on region, subscription duration, and bundles. Promotional rates, features, and payment options are subject to frequent testing and updates.
11. Copyright Infringement Claims
Submit copyright infringement claims through the provided form. Include the authorized person's signature, detailed work description, material location, contact information, copyright owner details, and a statement of good faith belief. Repeat infringements lead to account termination.
12. Disclaimers
Ally provides the service "as is" and makes no warranties, whether express or implied. Ally is not responsible for user-generated content. Use the service at your discretion, and Ally is not liable for downloaded material.
13. Third-Party Services
The service may feature third-party ads, promotions, and links. Ally isn't responsible for external site availability or terms. Interactions with third parties are governed by their terms.
14. Limitation of Liability
Ally, its affiliates, and service providers are not liable for indirect, consequential, or incidental damages. The aggregate liability is limited to the greater of the amount paid to Ally for the service or USD100. Some jurisdictions may not allow certain limitations.
15. Arbitration, Class-Action Waiver, and Jury Waiver
Disputes are subject to binding arbitration, except for small claims court options. Users waive rights to class actions and jury trials. Arbitration follows specified procedures. The arbitration agreement is enforceable in court.
16. Governing Law
For EU/EEA members or where arbitration is prohibited, Texas law applies to disputes, with the Federal Arbitration Act governing the arbitration agreement.
17. Venue
Claims not subject to arbitration are litigated in federal or state courts of Dallas County, Texas. Members consent to personal jurisdiction in Texas.
18. Indemnity by You
To the extent allowed by law, you agree to indemnify and hold Ally, its affiliates, officers, and employees harmless from any claims, damages, or expenses related to your use of the service or breach of this agreement.
19. Entire Agreement and Other Terms
This agreement, including related policies and additional terms, constitutes the entire agreement. Invalid provisions won't affect the agreement's remainder. Ally account rights terminate on death. No special relationships or employment result from this agreement.
